MINAX TERMS OF SALE

1. Seller

2. Service and offers

2.1 The service. Minax is an online digital service. You describe a Minecraft plugin (Java Edition, Paper servers) in a conversation with an artificial intelligence; Minax writes the code, compiles it, tests it on a Minecraft server and delivers a .jar file when compilation succeeds. Minax also gives you time-limited access to a playable test server. To play on it, you need an account with the paid version of Minecraft Java Edition: those are Minecraft's rules, and the test server may check this (Terms of Use, article 4).

2.2 Credits. Credits are used to pay for this service. They are prepayment units, not goods or digital content. Each creation or edit uses a number of credits that depends on the work actually done. A creation that ends without a .jar file is automatically refunded in credits, minus 0.3 credit; a creation stopped because your credits ran out is paused, not ended (section 7.1). Credits cannot be converted into money, except as set out in sections 6, 7 and 8, and cannot be transferred to another account.

2.3 Pro subscription. The credit subscription is no longer offered for new orders. A subscription taken out before carries on under the terms of its order (article 5.5): each month, a number of credits and test-server minutes depending on its tier (for the Pro grid, from 80 to 3,300 credits, for €24 to €891 per month including VAT).

2.4 Credit packs. Credits are bought in packs, with a one-time payment, no subscription and no renewal, from €5.99 to €69.99 including VAT. Credits from a pack are valid for 36 months from purchase. In these terms, a pack is also called a top-up.

2.5 Free credits. Free credits (welcome, referral, goodwill) have no cash value and are removed if the purchase they relate to is withdrawn or refunded.

2.6 Rollover and order of use. At each monthly renewal, the monthly credits of the past month that you did not use roll over, up to the tier's monthly credits, except for the Starter plan, no longer sold, whose credits do not roll over. Rolled-over credits remain valid for 30 days at most and never beyond the next renewal: they do not roll over a second time, and any not used by then are lost. Credits are always used starting with those that expire first. Each batch of credits and its end date are shown in Settings, Billing. Minax emails you 7 days before the credits of a paid top-up expire.

2.7 One engine. All buyers get the same engine and the same features. Making private a plugin published automatically in Discover (Terms of Use, article 6) is open to any account with an active subscription or a pack paid since this version came into force that is still valid. The pack keeps that choice until it expires, even if Minax later changes its offers; a pack that is refunded in full, withdrawn or disputed no longer opens it. A paid top-up bought before this automatic publishing started also keeps that choice until it expires. Only the number of credits and the test-server minutes differ between offers.

2.8 Stability. Minax does not change, to your detriment, how credits already bought are counted without emailing you 30 days in advance; you can then get a refund for unused paid credits.

3. Prices and taxes

Prices are shown in euros, all taxes included: if you pay in euros, the price shown is the price paid. For a consumer based in the European Union, it includes the applicable VAT, currently French VAT at 20 %, shown on the invoice. Outside the European Union, no French VAT is charged (article 259 B of the French General Tax Code). A business based in another EU country that gives a valid VAT number is invoiced without VAT under the reverse charge (article 196 of Directive 2006/112/EC): the price paid is then a price excluding VAT.

When you connect from a country outside the European Union, Stripe's payment page may offer to let you pay in your own currency. The converted amount is calculated by Stripe at its exchange rate, which includes a conversion fee of 2 to 4 %; it is shown to you on that page before you pay, and this fee goes to Stripe, not to Minax. You can always choose to pay in euros, at the price shown. The invoice stays in euros. For a subscription paid in your currency, each later payment (renewal or upgrade to a higher tier, section 5.3) is charged in that currency, converted the same way, and the converted amount may change with the exchange rate; the price in euros only changes under the conditions of section 5.4. A payment made in your currency is refunded in that currency, at the exchange rate of that payment (section 6.5). If you pay in euros with a card in another currency, your bank may add its own exchange fees.

4. Ordering and payment

4.1 Who can order. An adult, for themselves or for their business, or a minor with the agreement of a parent or guardian (section 10).

4.2 Steps. (1) You choose an offer on Minax. (2) Depending on the page, you then state your country of residence on Minax and tick there the consent box for the immediate start of the service (section 6) and, for a subscription, the one for monthly renewal (section 5); you are also informed there of the limits of AI-written code (section 8.3), by a sentence or by a box to tick. Otherwise, the Minax page has no box: these consents are given at step (4). (3) You click "Continue to payment": nothing is paid yet. (4) On Stripe's secure payment page you check the summary (offer, price, taxes), enter your billing address, can correct your details or go back, accept these terms, then click the payment button: this click is an order with an obligation to pay. When the Minax page had no box, the Stripe box accepting these terms also includes the request for the immediate start of the service (section 6) and, for a subscription, consent to its renewal (section 5). (5) The contract is concluded as soon as Stripe confirms payment. A change of tier (section 5.3) is made on Minax, without a Stripe page: you tick its consent box or boxes, then confirm with the button showing the amount; an upgrade is paid with your subscription's payment method.

4.3 Confirmation. You immediately receive an email confirming the contract, with the purchase summary, the date and time of your consents (for a box ticked on the payment page, those of the payment), these terms as a PDF, the withdrawal information, the withdrawal form and the "Withdraw from contract here" link. Every payment gives rise to an invoice, emailed to the payer and available in Settings, Billing; for a purchase paid by a parent, the invoice is sent to the parent, and only to them.

4.4 Payment. Payment is processed by Stripe Payments Europe Ltd (Dublin, Ireland). Accepted methods: Visa, Mastercard and American Express cards, Apple Pay, Google Pay and the other methods shown on the payment page, which may include Link, Stripe's service that remembers your payment details. Minax never receives your full card number or security code.

4.5 Languages and storage. The contract can be concluded in French, English or German. Minax keeps every version of these terms and proof of your consents (the exact text you accepted, its hash, the date and time and, for a purchase paid on Stripe's page, Stripe's confirmation) for 5 years after the contract ends, and invoices for 10 years. You can ask for a copy at dev@minax.fun.

5. Subscription: term, cancellation, price

5.1 Term. The subscription is open-ended, with no minimum term. It is paid in advance every month on the anniversary date of the subscription.

5.2 Cancelling. You can cancel at any time, free of charge: with "Cancel your contract here" at the bottom of every page of the site, even when not logged in, or in Settings, Billing; or by email to dev@minax.fun; or by post. Cancellation takes effect at the end of the month already paid. Until then your credits remain usable; top-up credits keep their own validity. You immediately receive an email stating the date and time your request was received and the end date. The current month is not refunded, except in case of withdrawal (section 6), lack of conformity (section 8) or breach by Minax.

5.3 Changing tier. Upgrading takes effect immediately: you pay the difference for the rest of the month, and the amount, in euros, is shown on the button before you confirm; for a subscription paid in your currency, this amount is charged in that currency, converted by Stripe at its exchange rate, conversion fee included (section 3). Downgrading takes effect at the next renewal, with no payment.

5.4 Price changes. Minax may change the price of a tier for the future. It emails you 30 days before the first billing date concerned. The new price only applies to your subscription if you expressly accept it; otherwise your subscription ends at the end of the last month paid at the old price, free of charge. A price change never affects a period already paid.

5.5 Withdrawn plans. A plan that is no longer sold remains valid for those who subscribed to it, as long as they do not change plan.

6. Right of withdrawal

6.1 Period. As a consumer, you have 14 days from the conclusion of the contract (subscription, top-up purchase, paid upgrade) to withdraw, without giving any reason or paying any penalty.

6.2 Immediate start. So that you can use your credits right away, Minax asks you, before payment, to expressly request that the service start before the withdrawal period ends, and to acknowledge that you lose your right of withdrawal once the service has been fully provided. If you withdraw within the period, you only pay for the part of the service already provided: the price paid multiplied by the share of this purchase's paid credits already used. Minax refunds the rest. Example: a 50-credit pack at €17.99 with 20 credits used gives €17.99 × 30 / 50 = €10.79 refunded. Free credits are not counted and are removed.

6.3 Loss of the right. Your right of withdrawal ends before 14 days if the service has been fully provided, meaning all paid credits of this purchase have been used, and if before payment you gave the request and acknowledgement in section 6.2.

6.4 How to withdraw. The easiest way is the "Withdraw from contract here" link, available for the 14 days at the bottom of every page, in Settings, Billing, and in the confirmation email. You enter your name, the purchase concerned and the email address for the acknowledgement, then click "Confirm withdrawal". You can also send the form in Annex 1, or any clear statement, to dev@minax.fun or by post to the address in section 1. It is enough to send your statement before the period ends. Minax emails you an acknowledgement without delay, with the content of your statement and the date and time it was received.

6.5 Refund. Minax refunds you no later than 14 days after receiving your withdrawal, using the payment method you used, at no cost to you. If you paid in your own currency on Stripe's page, the refund is made in that same currency: the amount is calculated in euros, then returned at the exchange rate of your payment. A full refund gives you back exactly the amount you paid, conversion fee included. The purchase's unused credits and the related free credits are removed; a subscription ends immediately.

6.6 If Minax did not obtain your express request or did not give you this information, you pay nothing for the service already provided.

6.7 Outside the European Union, including Switzerland. Even if the law of your country gives no right of withdrawal for online purchases, Minax voluntarily grants you the same right on the same terms.

7. Other refunds

7.1 Creation without a .jar file: credits are automatically returned, minus 0.3 credit. A creation stopped because your credits ran out is paused: it picks up again when you top up. If it stays paused for 30 days without reaching a .jar file, its credits are returned to you, minus 0.3 credit, once per creation. This goodwill gesture is in addition to the guarantee in section 8 and does not replace it.

7.2 Service not requested or not provided: if Minax starts a creation you did not request, charges for an edit that is later cancelled, or announces a refund, the corresponding credits are returned to you.

7.3 Payment error or double charge: refunded as soon as it is found.

7.4 Countries where Minax is not sold (section 12): payment refunded in full.

7.5 Every cash refund gives rise to a credit note.

7.6 Complaints: dev@minax.fun or by post. Minax replies within 15 days at most.

8. Legal guarantee of conformity

8.1 Guarantor: Thomas Bidault (Minax), 26 rue des Ponts, 44470 Thouaré-sur-Loire, France; dev@minax.fun.

8.2 Courtesy translation of the regulatory French notice; the French text prevails. You are entitled to the legal guarantee of conformity if a lack of conformity appears during the whole subscription (subscription) or within two years of supply (top-ups) of the digital content or service. During this period (for top-ups, during the first year) you only need to show that the lack of conformity exists, not when it appeared. The guarantee includes all updates needed to keep the service in conformity. You are entitled to have the service brought into conformity without undue delay after your request, free of charge and without major inconvenience. You may obtain a price reduction while keeping the service, or end the contract and get a full refund, if: 1. the trader refuses to bring the service into conformity; 2. doing so is unjustifiably delayed; 3. it cannot be done without costs imposed on you; 4. it causes you major inconvenience; 5. the lack of conformity persists despite the trader's unsuccessful attempt. You are also entitled to an immediate price reduction or termination if the lack of conformity is so serious that it justifies this, without first asking for it to be fixed. Where the lack of conformity is minor, you may only cancel the contract if no price was paid. Any period of unavailability while conformity is restored suspends the remaining guarantee period. These rights result from articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code. A trader who obstructs the guarantee in bad faith faces a civil fine of up to €300,000, which can be increased to 10 % of average annual turnover (article L. 242-18-1). You also benefit from the legal guarantee against hidden defects (articles 1641 to 1649 of the French Civil Code) for two years from discovery of the defect, giving a right to a price reduction or a full refund.

8.3 AI-written code. AI-written code may contain errors or not work the first time: you are informed of this before your purchase by these terms and, on some pages, by a sentence or a box to tick before the button. This information does not deprive you of any right, in particular repair, price reduction and refund as described above.

8.4 Using the guarantee. Write to dev@minax.fun with the project and the defect. Minax replies within 15 days at most.

8.5 If you live in another country, you also keep the mandatory guarantee rights of that country.

9. Availability

Minax aims to keep the service available at all times, without a service-level guarantee. It may be interrupted for maintenance or in case of failure. This does not deprive consumers of their rights in case of lack of conformity (section 8) or breach by Minax.

10. Minors

10.1 Minax is open from age 13. If you are under 18, a parent or guardian must agree before you buy; the box you tick before paying says so. You can also send them the details of an offer from your account: they read the offer and these terms on a Minax page, give the consents in section 4.2 and pay themselves.

10.2 If a person under 18 made a purchase without a parent's agreement, the parent can write to dev@minax.fun within 12 months: Minax refunds the purchase in full and removes the remaining credits.

11. Liability

Minax is liable for damage caused by a breach of its obligations, under general law. You remain responsible for how you use plugins on your servers, in particular for testing them before opening them to other players. Nothing in these terms limits the rights the law gives you as a consumer.

12. Countries where Minax is sold

Minax is sold worldwide, except in the following countries and territories, where no purchase is possible, whether by a consumer or a business: Russia, Belarus, Iran, North Korea, Syria, Cuba, Crimea and Sevastopol, the areas of the Donetsk, Luhansk, Kherson and Zaporizhzhia regions not controlled by the Ukrainian government, China, Hong Kong, Macao, Venezuela, Myanmar, Afghanistan, Yemen, Kosovo, Western Sahara, Jersey, Guernsey and Gibraltar. These exclusions follow from European Union restrictive measures and from the terms of our payment and artificial intelligence providers. In addition, Minax is not yet sold to consumers living in the following countries, where local tax registration would be required: United Kingdom and Isle of Man, India, South Korea, Mexico, Chile, Colombia, Peru, Uruguay, Saudi Arabia, United Arab Emirates, Bahrain, Oman, Morocco, Kenya, Tanzania, Senegal, Cameroon, Guinea, Mauritania, Angola, Serbia, Albania, North Macedonia, Montenegro, Moldova, Georgia, Armenia, Kazakhstan, Kyrgyzstan, Tajikistan, Uzbekistan, Vietnam, Laos, Bangladesh, Bahamas, Aruba and Türkiye. Businesses from these countries that provide their VAT or tax identification number remain accepted, except in the United Kingdom and the Isle of Man, where sign-up is not yet open. Your country of residence is the one in the billing address you enter on the payment page; depending on the page, you also state it before payment. Before payment, Minax may refuse the purchase based on the country you state or on the one you connect from. After payment, if the billing address or the card shows a country on the first list, if the postcode shows Crimea or Sevastopol, or if the billing address shows a country on the second list without a VAT or tax identification number, the payment is refunded in full, any subscription is cancelled and no credits are added. Minax provides no service to any person or entity subject to sanctions of the European Union, the United Nations, the United Kingdom or the United States. Within the European Union, the conditions are the same whatever your country.

13. Complaints and mediation

First write to dev@minax.fun. If you are not satisfied, or get no reply within two months, you can refer the matter free of charge to Minax's consumer mediator: CM2C, 49 rue de Ponthieu, 75008 Paris, France; +33 1 89 47 00 14; https://www.cm2c.net/declarer-un-litige.php; litiges@cm2c.net.

14. Governing law and courts

These terms are governed by French law. If the buyer is a consumer, this choice does not deprive them of the protection given by the mandatory rules of the law of the country where they habitually live. In case of a dispute, the consumer may bring proceedings before the courts of the place where they live or before the competent French courts; Minax may only bring proceedings against the consumer before the courts of the place where the consumer lives. For business customers, and to the extent permitted by law, the courts of Nantes, France, have jurisdiction.

16. Changes to these terms

A new version applies to orders placed after it is published. For a current subscription, Minax emails you 30 days in advance. A change to your detriment only applies with your express consent; without it, your subscription ends at the end of the paid month, free of charge. A change in your favour applies immediately.

Annex 1: Withdrawal information and form

Right of withdrawal. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire after 14 days from the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us (Thomas Bidault, Minax, 26 rue des Ponts, 44470 Thouaré-sur-Loire, France; phone +33 7 49 44 85 86; dev@minax.fun) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or an email). You may use the model withdrawal form below, but it is not obligatory. You can also withdraw online at https://minax.fun/withdraw ("Withdraw from contract here"); if you use this function, we will send you without delay an acknowledgement of receipt on a durable medium (e.g. by email) with the content of your statement and the date and time of its receipt. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal. If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract. This amount equals the share of paid credits used before the withdrawal.
